1. Scope
These Terms of Service ("Terms") apply to the use of the website www.molgenium.com and to all contracts concluded through it between you and Dr. Mohamad Toutounji, trading as Molgenium, freelance pharmaceutical consultancy, Düsseldorf, Germany ("Molgenium", "we", "us"), in particular customer accounts, product orders and quotes, and course registrations. You can reach us at info@molgenium.com or +49 162 608 8710; a postal address is available on request.
Deviating terms of a customer apply only if we expressly agree to them in writing. Consulting services are governed by the individual proposal or agreement for each engagement (see section 7).
2. Who our offers are for
Our products and services are intended primarily for businesses, research institutions and professionals in the pharmaceutical, biotech and medical device industries. If you act as a consumer (Section 13 German Civil Code, BGB), the statutory consumer protection rules apply in addition to these Terms, including your statutory right of withdrawal for contracts concluded at a distance (see below).
Right of withdrawal for consumers
If you are a consumer, you have the right to withdraw from a contract concluded through our website within 14 days without giving any reason. The withdrawal period is 14 days from the day the contract is concluded or, for goods, from the day you or a third party you name (other than the carrier) takes possession of the goods.
To exercise your right of withdrawal, send us a clear statement of your decision (for example by email to info@molgenium.com) before the withdrawal period expires. If you withdraw, we will refund all payments received from you, including standard delivery costs, without undue delay and no later than 14 days after we receive your withdrawal, using the same means of payment you used unless agreed otherwise. For goods, we may withhold the refund until we have received the goods back or you have provided proof of having sent them; you bear the direct cost of returning them.
If you asked us to start a service, such as a course, during the withdrawal period, you must pay an amount proportionate to what has been provided up to the time you withdraw. Your right of withdrawal ends once we have fully provided a service you asked us to start during the withdrawal period, if you acknowledged that you would lose this right on full performance.
3. Using our website
The content on our website, including the Free Toolkit, blog articles and other resources, is provided for general information. It does not constitute regulatory, legal or medical advice for your specific situation and does not replace a professional assessment. We take care to keep content accurate and current but cannot guarantee that it is complete or up to date at all times.
We aim to keep the website available but do not guarantee uninterrupted availability. You may not use the website in a way that impairs its operation or security, or attempt to access data or areas that are not intended for you.
Our website may link to third-party websites. We have no control over their content and are not responsible for it.
4. Customer accounts
Some services require a customer account. You must provide accurate information and keep it up to date. Keep your password confidential and tell us immediately at info@molgenium.com if you suspect unauthorized use. Accounts are personal and may not be shared.
We may suspend or close an account if it is used in breach of these Terms. You can ask us to close your account at any time. Instructor accounts are intended for delivering courses and cannot be used to place orders or register for courses.
5. Product orders and quotes
Conclusion of contract
The product presentations on our website are not binding offers. By submitting an order or a quote request you make an offer to buy. A contract is concluded only when we confirm your order in writing (including by email) or ship the goods. Quotes we issue are valid for the period stated in the quote.
Prices and payment
Prices are shown in the currency indicated on the product page. Any applicable VAT and shipping costs are shown before you complete your order or in our quote. Invoices are payable within 14 days of the invoice date without deduction, unless otherwise agreed.
Delivery and retention of title
Delivery times stated are estimates unless expressly agreed as binding. We remain the owner of delivered goods until they have been paid for in full.
Intended use
Unless a product is expressly specified and sold as GMP grade, our products are supplied for research use only and not for diagnostic or therapeutic use in humans or animals. You are responsible for storing, handling and using products in line with their specifications, safety data sheets and applicable law.
Inspection and defects
Business customers must inspect goods promptly on receipt and notify us of any visible defects in writing without undue delay (Section 377 German Commercial Code, HGB). Statutory warranty rights apply, subject to section 10.
6. Professional courses
Course registrations submitted through our website are reviewed by us. A contract is concluded when we confirm your registration. The course fee shown on the course page applies and is payable as stated in the confirmation or invoice.
Cancellation and refunds: you can cancel your registration at any time before the course starts and receive a full refund of the course fee. After the course has started, our 30-Day Money-Back Guarantee applies: if you are not satisfied, email info@molgenium.com within 30 days of the course start date and we will refund the course fee in full. Consumers also keep their statutory right of withdrawal described in section 2.
We may change course dates, formats or instructors for good reason, or cancel a course if, for example, too few participants register. In that case we will inform you as early as possible and refund any fees already paid for the cancelled course. Course materials are for your personal use only (see section 8). Certificates of completion are issued when the course requirements have been met.
7. Consulting services
Consulting, validation and regulatory services (including advisory, project-based, retainer, interim management and dedicated-team engagements) are provided on the basis of an individual proposal or agreement setting out scope, deliverables, timelines and fees. In the event of a conflict, that agreement takes precedence over these Terms.
8. Intellectual property
All content on our website, including texts, graphics, logos, photographs, course materials, checklists and software, is protected by copyright and other intellectual property rights and belongs to Molgenium or its licensors. You may view and print content for your own internal, non-commercial use. Any other use, in particular reproducing, distributing, publishing or commercially exploiting it, requires our prior written consent. Recording or sharing course sessions and materials with third parties is not permitted.
9. Content you provide
You are responsible for content you submit, such as enquiries, support requests, order notes and course notes. It must not infringe the rights of others or the law. You grant us the rights needed to process this content in order to provide our services to you. Please do not submit confidential information through our website without first agreeing on appropriate confidentiality terms with us.
10. Liability
We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under the German Product Liability Act, and where we have given a guarantee.
For slight negligence, we are liable only for breach of an essential contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely). In that case our liability is limited to the foreseeable damage typical for this type of contract.
These limitations also apply to the personal liability of our employees, representatives and agents.
11. Data protection
We process personal data in accordance with our Privacy Policy.
12. Changes to these terms
We may update these Terms for the future, for example when our services or the law change. Changes do not affect contracts already concluded. The current version is always available on this page.
13. Governing law and disputes
These Terms and all contracts concluded under them are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country in which you habitually reside.
If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Düsseldorf, Germany.
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
14. Final provisions
If any provision of these Terms is or becomes invalid, the validity of the remaining provisions is not affected. Questions about these Terms can be sent to info@molgenium.com.
